TRADING TERMS & CONDITIONS

A. Definitions
“Website” or “Site” means www.baligiftware.com is owned and operated by Bali Giftware based in Denpasar Bali INDONESIA (hereinafter referred to as "we," "us," or "the Company").
“User”, “Customer”, “Buyer” or “You” hereinafter referred to as anyone using and/or visiting the website for any purpose.
This document (these "Trading Terms and Conditions") is a legally binding agreement between you (including the organization that you represent, if any) and the Company. 
All orders and contracts are subject to these Trading Terms & Conditions. Before ordering any item through us please read these Trading Terms & Conditions carefully. By placing an order with us, then this shall be deemed conclusive evidence of your acceptance of these Trading Terms & Conditions.

We reserve the right to change these Trading Terms & Conditions from time to time without affecting the existing Trading Terms & Conditions including any special or varied terms and conditions accepted by you upon purchase. Any changes to these Trading Terms & Conditions will be effective on the day they are posted on our website. You must ensure that they keep up to date with any of these updated versions of these Trading Terms & Conditions.

B. The Items/Products

  1. All items displayed on the website are made to order. We don't stock any items.
  2. Some items can be ordered in single quantities and some of them have to be ordered in minimum quantities.
  3. We strive to display as accurately as possible the true colors of our products in the marketing materials provided and through the website, but we cannot guarantee the accuracy of the photographs.
  4. We reserve the right to alter any specification or finish of the items on website without prior notice.
  5. You are aware that our products are handmade; therefore you agree that you may receive products that are slightly different from one piece to another. Slightly differences can occur in patterns, decorations, shapes and shades of color. That is the beauty and uniqueness of handmade products.
  6. The items such as furniture and handicraft s are made from natural wood and wood veneers, accordingly appearances may vary. Some woods, particularly teak, can mellow in colour with age and exposure to sunlight. You are buying handmade furniture and handicrafts where varying degrees of distressing may apply from piece to piece; this may involve wood splits, wood cracking, wood filling, knots, spots, scratch marks, antiquing etc.
  7. All dimensions of items specified are approximate and are used as a guideline. We cannot guarantee the complete accuracy of the dimensions that are shown on our website/promotion materials and will not accept dimensions as a reason for defect.
  8. Certain products may require assembly. You must follow the assembly instructions carefully and use professional installers when necessary. All furniture products must be inspected periodically to ensure that all screws, nuts, bolts, and other fasteners are properly maintained and secure.

C. Quotations/Invoices

  1. Our price terms available: EXW, FOB or CIF as stated in the price quote and invoice.
  2. Prices are quoted valid for two weeks, after two weeks the prices may change without prior notice.
  3. We strive to ensure that all prices quoted are correct and within the company's pricing structure. In the event that an incorrect price is quoted, we shall amend such price upon notification. We are under no obligation to supply any product that is priced incorrectly.
  4. You bear the cost of shipping from one of the ports in Indonesia to the port of the destination country, including import duties and other costs that may occur in the destination country.

D. Ordering

  1. The process of ordering the products can be done online through the website or via email and are subject to Trading Terms & Conditions.
  2. We reserve the right to accept or reject any order placed, without assigning any reasons whatsoever.

E. Minimum Order

We have NO MINIMUM ORDER VALUE and we can supply in singles, pallets and containers. However, we highly recommend ordering a minimum volume of one full container of mixed items to save on shipping costs due to the fact that shipping order with a volume of less than a full container is very expensive and not profitable for business!

F. Production Lead Time

  1. All items are made to order. At the time of order is received we will send you a pro-forma invoice and advise the estimated delivery schedule.
  2. Production lead time varies according to the quantity and type of items ordered, and greatly of time of the year when order is placed.
  3. Production time for a full container order typically takes 60 to 120 days for most items, and about 45 to 60 days for small orders. 
  4. Our estimated production and delivery time frame starts from the day of receiving the funds as a deposit. 
  5. We will not start your order before receiving the funds for deposit.

G. Payment

  1. At the time we receive your order, we immediately send you a Pro-forma invoice to confirm.
  2. Once order is confirmed a deposit of 50% is required to start production. The remaining payment to be paid upon completion of order.
  3. Payment can be made using Credit/Debit cards and Bank Transfer. We do not accept L/C payment.
  4. The amount stated on the invoice is the net amount we must receive. There is a local bank charge of USD 40.00 of each wire transfer charged to us by our bank. This bank charge is added on to your invoice.
  5. A week before completion of your order we will notify you by email and request the remaining payment.
  6. Should the remaining payment not be received within 14 working days after email notification of order completion is sent, then the order is considered to be null and void. All deposits have been paid will be utilized to defray costs associated with your order.

H. Shipping

VERY IMPORTANT! For those who are importing goods for the first time, you must find out the import duties, taxes, destination local charges, etc. that apply in your country before ordering from us.

  1. All items are made to order. At the time of order is received we will send you a pro-forma invoice and advise the estimated delivery schedule.
  2. EXW and FOB price terms.
    EXW terms: you bear all costs to transport the goods from our warehouse ini Bali to destination port (Port of Discharge), as well as insurance, import duties, taxes, destination local charges, etc. that occur in the destination country. 
    FOB terms: you bear the cost of ocean freight from the port of Surabaya or other ports in Indonesia to the destination port as well as insurance, import duties, taxes, destination local charges, etc. that occur in the destination country.
  3. We can arrange all your shipping requirements from full container load (FCL) to less than container load (LCL).
  4. Minimum LCL shipment by sea is one pallet may contain mixed items. However, to ship an order with a volume of less than a full container is very expensive and not profitable for business! We highly recommend ordering a minimum volume of one full container of mixed items to save on shipping costs.
  5. After your shipment leaves Bali, we will coordinate with your customs broker to ensure the shipment runs smoothly without any problems. Your customs broker will contact you when your goods arrive and provide details of import duties, taxes, destination local charges, eyc. that you have to pay to clear the shipment. We can also appoint a reliable customs broker for you if you don't have one..
  6. We will send to you by courier all original shipping documents required for customs clearance (Commercial invoice, COO, BL, Fumigation certificate, etc) within two weeks after the shipment leaves the port of Surabaya Indonesia and we continue monitoring the shipment until you receive the goods in your hands.
  7. You are obliged for shipping insurance of 2.5% of the value of declared goods to cover losses in the event of a lost shipment.

I. Cancellation

NO CANCELLATIONS ARE ACCEPTED once order has been confirmed NOR deposit or down payment has been paid. All the deposits or down payment have been paid are utilized to defray costs associated with your order.

J. Claims of Defect Goods

  1. Immediately upon receipt the shipment you should properly inspect the goods.
  2. Claims for damage or shortage must be notified to us by email within 5 (five) working days of receipt of the shipment.
  3. Failure to notify us in time may result in the rejection of a claim, as we have to make any claims against our shipping agent within one week after the shipment is received.
  4. Claims must be supported with clear photographs that show the damage, clear photographs of the packaging to demonstrate condition of packaging and details of product number.
  5. Any incomplete claims whereby all of the above details are not sent by email within the time frame will be rejected.
  6. If damage is caused by poor packing standards imposed by you for the purpose of reducing costs or other reasons, then the claims cannot be accepted.
  7. You will be deemed to have received the goods unconditionally if no claim is made within 14 days of receipt of the shipment.
  8. For shortage, defect or damage items we will issue a credit note for a replacement on your next order. WE DO NOT MAKE ANY REFUNDS.

K. Samples

Buyers who request samples will be charged both for samples and freight cost.

L. Force Majeure

We shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, accidents, war, fire, strikes, lock outs, failure of any communications including telecommunications or computer systems, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and we shall be entitled to a reasonable extension of its obligations.

M. Governing Law & Jurisdiction

These Trading Terms & Conditions shall be interpreted, construed and enforced in accordance with Indonesian law and shall be subject to the exclusive jurisdiction of the Indonesian courts.
